1. Provision of Service
The provision of the Service shall commence on the date of these Terms and Conditions after this document has been executed by both parties.
2. Price
2.1: The price is exclusive of VAT, which will be charged at the appropriate rate, carriage and delivery
2.2: The Company is entitled to charge for any additional work agreed in advance by the customer which is incurred once they have commenced Service of a System.
The Company retains full title to any equipment supplied in relation to the System until full payment is received in line with the Terms stipulated at Clause 3, for the system or the relevant part thereof.
5. Obligations of the Customer
5.1 The Customer must give access to their premises at all reasonable times during normal working hours to enable provision of the Service to take place.
5.2 The Customer must advise the Company of any restrictions, by-laws, local regulations, permits, licenses or approvals that may be required prior to the service taking place.
6. Obligations of the Company
6.1 Provided that the Customer duly complies with each and every one of the obligations laid down at clause 5 the Company will provide a Service to the Customer in relation to their chosen System.
6.2 Works will be carried out during Normal Working Hours. However in the event that a System proves faulty a 24 hour service can be provided by the Company to carry out necessary remedial works.
6.3 If so required The Company will issue a receipt for any payments made in line with clause 3.
7. Cancellation by the Company, if any of the following should occur.
7.1 The Customer fails to make payment in line with the terms laid down at clause 2.
7.2 The customer provides incomplete or materially inaccurate or misleading facts or information in connection with these Terms and Conditions.
7.3 The Customer is presented with a bankruptcy or insolvency petition or makes arrangements for the benefit of its creditors.
7.4 The Customer is in material breach of any of these Terms and Conditions.
7.5 Any order is made against the Customer or any distress diligence execution or any other legal process is levied on any property of the Customer, at the premises where the system is being installed.
8. Completion Certificate
Unless agreed in writing the Completion Certificate will only be passed to the Customer once payment has been made in conjunction with clause 3 of these Terms and Conditions. It will be withheld in the event of non-payment.
9. Insurance
As detailed in the Company’s insurance schedule the Company has insurances in place to cover claims arising in respect of Public and Products Liability, Employer’s Liability and professional indemnity.

12. Entire Agreement Clause
If there is a difference in these Terms and Conditions and any stated in a specification or invoice the statement in these terms and conditions will apply unless the same as been reduced to writing and agreed between the Company and the Customer.
13. Law
These Terms and Conditions will be governed by English Law. Any disputes will be dealt with by the English Courts.
